Common use of Indemnification, Joint and Several Liability Clause in Contracts

Indemnification, Joint and Several Liability. In addition to the other terms in this Account Agreement, you agree to indemnify us and hold us harmless from all Losses pertaining to any third party claim related to your Accounts, this Account Agreement, your use of any Account and your breach of any of the terms of this Account Agreement. This indemnification does not apply to our conduct if we failed to exercise ordinary care. You agree that you are individually or jointly liable for any liabilities or Losses including, but not limited to, the indemnification obligations in this section that you or any other joint Account holder or signer may have to the Bank under this Account Agreement. You are liable regardless of whether another party is also liable for the claims and whether the claims relate to the Account, an overdraft protection plan, a credit agreement, or other circumstances.
