Indemnification Limitation on Liability. 10.1. Broadcaster shall indemnify, defend and hold harmless Dish TV and its officers, directors, employees, and agents against and from any and all third party claims, lawsuits, costs, liabilities, judgments, damages and expenses (including, without limitation, reasonable attorneys’ fees) arising out of or in connection with: (i) Breach of any of the warranties and representations provided by Broadcaster, other provisions of this Agreement, applicable laws, rules, regulations and Codes such as Programming and Advertising Codes etc., (ii) The distribution by Dish TV of the Channel through the DTH services, in accordance with the terms of this Agreement which if results in a violation of the rights of any third party, including any intellectual property rights. 10.2. Under no circumstances shall either Party be liable to the other for any indirect, special or consequential loss or damages arising under this Agreement.
