Common use of INDEMNIFICATION OF ATI Clause in Contracts

INDEMNIFICATION OF ATI. Teledyne Technologies shall indemnify, defend and hold harmless ATI, each ATI Entity and each of their respective directors, officers and employees, and each of the heirs, executors, successors and assigns of any of the foregoing (collectively, the "ATI Indemnitees") from and against (i) any and all Benefit Liabilities of the ATI Indemnitees to the extent any such Benefit Liabilities are assumed by Teledyne Technologies or a Teledyne Technologies Entity under this Agreement and (ii) any and all changes or modifications to any rights, privileges or benefits of or relating to any Teledyne Technologies Individual as provided in or otherwise contemplated by this Agreement.
