Common use of Indemnification of Brokerage Clause in Contracts

Indemnification of Brokerage. Each of the parties hereto agrees to indemnify and hold harmless each other party from and against any claim or demand for a commission or other compensation by any financial advisor, broker, agent, finder, or similar intermediary claiming to have been employed by or on behalf of such indemnifying party and to bear the cost of legal fees and expenses incurred in defending against any such claim or demand.

Indemnification of Brokerage. Each of the parties party hereto agrees to indemnify and hold save the other harmless each other party from and against any claim or demand for a commission or other compensation by any financial advisor, broker, agent, finder, agent or similar intermediary claiming to have been employed by or on behalf of such indemnifying first party or any of its affiliates, and to bear the cost of legal fees and expenses incurred in defending against any such claim or demand. Claims for indemnification under this Section 6.4 will be made in accordance with the provisions set forth in Section 10.2 but will not be subject to any of the limitations set forth in Section 10.3.
