Common use of Indemnification of Consultant Clause in Contracts

Indemnification of Consultant. Client shall indemnify, defend and hold Consultant harmless from and against any and all third party claims, liability, suits, losses, damages and judgments, joint or several, and shall pay all costs and expenses (including counsel's fees and expenses) as they are incurred in connection with the investigation of, preparation for or defense of any pending or threatened claim or any action or proceeding arising there from, that Consultant incurs as a result of having performed services on behalf of Client.

The Company agrees to indemnify and hold harmless Consultant harmless from and against in respect of any and all third party claims, liability, suits, lossesactions, damages and proceedings (formal or informal), investigations, judgments, joint or severaldeficiencies, damages, settlements, liabilities, and shall pay all costs legal and other expenses (including counsel's legal fees and expensesexpenses of counsel chosen by Consultant) as they are and when incurred arising out of, in connection with the investigation of, preparation for or defense based upon Consultant's performance of any pending or threatened claim or any action or proceeding arising there from, that Consultant incurs as a result of having performed services on behalf of Clientits duties under this Agreement.

Indemnification of Consultant. Client shall indemnify, defend indemnify and hold harmless Consultant, its shareholders, directors, officers, agents, members, managers and employees and their respective successors and assign (“Consultant harmless Indemnified Parties”) from and against any and all third party claimscost, liability, suits, losses, damages and judgments, joint loss or several, and shall pay all costs and expenses expense (including counsel's fees and expensesreasonable attorneys’ fees) as they are incurred in connection with which the investigation of, preparation for or defense of any pending or threatened claim or any action or proceeding arising there from, that Consultant incurs Indemnified Parties may suffer as a result of having performed services on behalf the breach by Client of Clientthis Agreement or any violation of law by Client which affects the Consultant Indemnified Parties.
