Common use of Indemnification of Distributor Clause in Contracts

Indemnification of Distributor. The Company shall indemnify Distributor and hold it harmless from any personal injury claims, demands, liabilities, suits or expenses of any kind arising out of damages to or defects in the Products resulting from the Company's actions or inactions as manufacturer of the Products.

Indemnification of Distributor. The Company shall indemnify indemnify, defend and hold harmless Distributor and hold it harmless its Affiliates, and their respective directors, officers, employees and agents from and against any personal injury claimsand all Losses with respect to third party claims arising from or relating to (a) any breach of this Agreement by Company or (b) any negligence or willful misconduct on the part of Company, demandsits Affiliates or their respective directors, liabilitiesofficers, suits or expenses employees and agents in connection with the performance of any kind arising out this Agreement, in each case except to the extent that such Losses arise from Distributor’s breach of damages to or defects in the Products resulting from the Company's actions or inactions as manufacturer of the Productsthis Agreement.

Indemnification of Distributor. The Company Distributor shall indemnify Distributor Supplier and its affiliates, officers, directors, agents and employees against, and hold it them harmless from from, any personal injury claims, demandsand all losses, liabilities, suits or claims, damages, costs and expenses of any kind arising out of damages to or defects (including reasonable attorneys' fees") in connection with the Products resulting from the Company's actions or inactions as manufacturer of the Productsa sold by Supplier to Distributor.
