Common use of Indemnification of Employees and Agents Clause in Contracts

Indemnification of Employees and Agents. The Company may indemnify and advance expenses to an employee or agent of the Company to the same extent and subject to the same conditions under which it may indemnify and advance expenses to Persons who are not or were not Members or officers of the Company but who are or were serving at the request of the Company as a manager, director, officer, partner, venturer, proprietor, trustee, employee, agent or similar functionary of another foreign or domestic limited liability company, corporation, partnership, joint venture, sole proprietorship, trust, employee benefit plan or other enterprise against any liability asserted against him and incurred by him in such a capacity or arising out of his status as such a Person to the same extent that it may indemnify and advance expenses to Members and officers under this ARTICLE V.

Indemnification of Employees and Agents. The Company may indemnify and advance expenses to any Person, as determined by the Board, by reason of the fact that such Person was an employee or agent of the Company to the same extent and subject to the same conditions under which it may indemnify and advance expenses to Persons who are not or were not Members any of its Affiliates or officers of the Company but who are is or were was serving at the request of the Company or any of its Affiliates as a manager, director, officer, partner, venturer, proprietor, trustee, employee, agent or similar functionary of another foreign or domestic limited liability company, corporation, partnership, joint venture, sole proprietorship, trust, employee benefit plan or other enterprise enterprise, against any liability asserted against him or her and incurred by him or her in such a capacity or arising out of his or her status as such a Person to the same extent that it may shall indemnify and advance expenses to Members Members, Managers and officers under this ARTICLE V.IX.

Indemnification of Employees and Agents. The Company Company, by adoption of a resolution of the Board (and with the prior written approval of Sponsor), may indemnify and advance expenses to an employee any employees or agent agents of the Company to the same extent and subject to the same conditions under which it may indemnify and advance expenses to Persons who are not or were not Members Managers or officers of the Company but and employees or agents of the Company who are or were serving served at the request of the Company as a manager, director, officer, partner, venturer, proprietor, trustee, employee, agent or similar functionary of another foreign or domestic limited liability company, corporation, partnership, joint venture, sole proprietorship, trust, employee benefit plan or other enterprise against any liability liabilities and expenses asserted against him such Person and incurred by him such Person in such a capacity or arising out of his their status as such a Person Person, to the same extent that it may indemnify and advance expenses to Members Managers and officers under this ARTICLE V.Section 7.4.
