Common use of Indemnification of Expenses of Successful Party Clause in Contracts

Indemnification of Expenses of Successful Party. Notwithstanding any other provision of this Agreement, in addition to and not in limitation of the rights set forth in Paragraph 2, to the extent that Indemnitee has been wholly successful, on the merits or otherwise, in the defense of any Proceeding to which Indemnitee was a party because of Indemnitee’s Corporate Status, Indemnitee shall be indemnified, to the fullest extent permitted by law (as such may be amended from time to time) against all reasonable Expenses incurred by Indemnitee in connection therewith.

Indemnification of Expenses of Successful Party. Notwithstanding any other provision of this Agreement, in addition to the Agreement except subsections 10(a) and not in limitation of the rights set forth in Paragraph 210(b) below, to the extent that the Indemnitee has been wholly successfulsuccessful in defense of any Proceeding or in defense of any claim, issue or matter therein, on the merits or otherwise, in including the defense dismissal of any a Proceeding to which Indemnitee was without prejudice or the settlement of a party because Proceeding without an admission of Indemnitee’s Corporate Statusliability, the Indemnitee shall be indemnified, indemnified against all Expenses incurred in connection therewith to the fullest extent permitted by law (as such may be amended from time to time) against all reasonable Expenses incurred by Indemnitee in connection therewithapplicable corporate law.

Notwithstanding any other provision of this AgreementAgreement (except for, in addition to and not in limitation of the rights set forth in Paragraph 2subject to, Section 10(c)), to the extent that the Indemnitee has been wholly successfulsuccessful in defense of any Proceeding or in defense of any claim, issue or matter therein, on the merits or otherwise, in including the defense dismissal of any a Proceeding to without prejudice or the settlement of a Proceeding (with the consent of the Company, which Indemnitee was a party because consent shall not be unreasonably withheld) without an admission of Indemnitee’s Corporate Statusliability, the Indemnitee shall be indemnified, to the fullest extent permitted by law (as such may be amended from time to time) indemnified against all reasonable Expenses actually and reasonably incurred by Indemnitee in connection therewith.
