Common use of Indemnification of Expenses of Successful Party Clause in Contracts

Indemnification of Expenses of Successful Party. Notwithstanding any other provisions of this Agreement other than Section 8, to the extent that the Director has been successful, on the merits or otherwise, in defense of any Proceeding or in defense of any claim, issue or matter therein, including the dismissal of an action without prejudice, the Corporation shall indemnify the Director against all Expenses actually and reasonably incurred in connection therewith.

Indemnification of Expenses of Successful Party. Notwithstanding any other provisions of this Agreement other than Section 8Agreement, to the extent that the Director has been wholly successful, on the merits or otherwise, in the defense of any Proceeding proceeding or in defense of any claim, issue or matter therein, including the dismissal of an action without prejudice, the Corporation shall indemnify the Director against all Expenses actually and reasonably expenses incurred in connection therewith.

Notwithstanding any other provisions provision of this Agreement other than Section 8and unless limited in the Articles, to the extent that Corporation shall indemnify the Director has been who was wholly successful, on the merits or otherwise, in the defense of any Proceeding or in defense to which the Director was a Party because of any claim, issue or matter therein, including the dismissal being a director of an action without prejudice, the Corporation shall indemnify against reasonable Expenses incurred by the Director against all Expenses actually and reasonably incurred in connection therewithwith the Proceeding.
