Common use of INDEMNIFICATION OF FUSO Clause in Contracts

INDEMNIFICATION OF FUSO. GenVec shall indemnify and hold Fuso and its Affiliates, and their respective directors, officers, employees, agents and counsel, and the successors and assigns of the foregoing (the "Fuso Indemnitees"), harmless from and against any and all liabilities, damages, losses, costs or expenses (including reasonable attorneys' and professional fees and other expenses of litigation and/or arbitration) resulting from a claim, suit or proceeding brought by a third party against a Fuso Indemnitee, arising from or occurring as a result of: (i) GenVec's conduct of the Research Program, (ii) the research, development, use or clinical testing of any Product Configuration and/or Collaboration Product by GenVec or its Affiliates or licensees other than Fuso and its Affiliates (including without limitation, product liability claims), or (iii) the failure of Collaboration Products manufactured by GenVec to meet the relevant specifications, except, in each case, to the extent caused by the negligence or willful misconduct of Fuso.

GenVec shall indemnify and hold Fuso and its Affiliates, and their respective directors, officers, employees, agents and counsel, and the successors and assigns of the foregoing (the "Fuso Indemnitees"), harmless from and against any and all liabilities, damages, losses, costs or expenses (including reasonable attorneys' and professional fees and other expenses of litigation and/or arbitration) resulting from a claim, suit or proceeding brought by a third party against a Fuso Indemnitee, arising from or occurring as a result of: (i) GenVec's conduct of the Research Program, (ii) the research, development, use or clinical testing manufacture, marketing and/or commercialization of any Product Configuration and/or Collaboration Product by GenVec or its Affiliates or licensees other than Fuso and its Affiliates (including without limitation, limitation product liability claims), or (iii) the failure of Collaboration Products manufactured by GenVec to meet the relevant specifications, except, in each case, to the extent caused by the negligence or willful misconduct of Fuso.
