Common use of Indemnification of Lessor Clause in Contracts

Indemnification of Lessor. Lessor shall not be liable for any damage or injury to Lessee or any other person or to any property, occurring on the demised premises or any part thereof and Xxxxxx agrees to hold Lessor harmless from any claim for damages, no matter how caused. Lessor shall not be liable for any loss, damage or injury of any kind, to any person, including Lessee, Lessee(s) family and Lessee(s) customers or property arising from any use of the Leased Premises, any part thereof or caused by any defect in any structure, facility or other improvements thereon or therein or caused by or arising from any act or omission of Lessee, Lessee(s) family, Lessee(s) customers or guests or any other person or by or from an accident on the premises or any fire or other casualty or occasioned by the failure of Lessee to maintain or repair the Leased Premises or by Lessee(s) breach of any obligation under this Lease. Xxxxxx, as a material part of the consideration to be rendered Lessors, hereby waives all claims and demands against Xxxxxx for all the aforesaid losses and damages to goods, wares and merchandise in, upon or about said premises and for injuries to persons in, upon or about said premises, from any cause whatsoever, arising at any time. Lessee will hold Lessor, its employees, agents and affiliated entities exempt and harmless from any liability, loss, cost and obligation on account of any damage or injury to any person or to the goods, wares and merchandise of any person, arising in any manner from the use or occupancy of the premises by the Lessee.

Indemnification of Lessor. 15. Neither Lessor nor Lessor’s agents, nor any shareholder, constituent partner or other owner of Lessor or any agent of Lessor, nor any contractor, officer, director or employee of any thereof shall not be liable to Lessee and Lessee waives all claims against Lessor and such other persons for any damage or injury to or death of any person or for loss of use of or damage to or destruction of property in or about the Premises by or from any cause whatsoever, unless caused by the gross negligence or willful misconduct of Lessor, its agents or employees. Lessee agrees to indemnify and hold Lessor, Lessor’s agents, the shareholders, constituent partners and/or other owners of Lessor or any other person or to agent of Lessor, and all contractors, officers, directors and employees of any propertythereof (collectively, occurring on the demised premises or any part thereof “Indemnitees”), and Xxxxxx agrees to hold Lessor each of them, harmless from and to protect and defend each Indemnitee against any claim for damagesand all claims, no matter how caused. Lessor shall not be liable for any lossdemands, suits, liability, damage or injury loss and against all costs and expenses, including reasonable attorneys’ fees incurred in connection therewith, (a) arising out of any kind, to injury or death of any person, including Lessee, Lessee(s) family and Lessee(s) customers or property arising from any use of the Leased Premises, any part thereof or caused by any defect in any structure, facility or other improvements thereon or therein or caused by or arising from any act or omission of Lessee, Lessee(s) family, Lessee(s) customers or guests or any other person or by damage to or from an accident destruction of property occurring in, on or about the premises or any fire or other casualty or occasioned by Premises during the failure term of Lessee to maintain or repair the Leased Premises or by Lessee(s) breach of any obligation under this Lease. Xxxxxx, as a material part of the consideration to may be rendered Lessors, hereby waives all claims and demands against Xxxxxx for all the aforesaid losses and damages to goods, wares and merchandise in, upon or about said premises and for injuries to persons in, upon or about said premisesextended, from any cause whatsoever, arising at unless caused by the gross negligence or willful misconduct of such Indemnitee, or (b) occurring in, on or about the Premises, when such claim, injury or damage is caused or allegedly caused in whole or in part by the act, neglect, default, or omission of any time. Lessee will hold Lessorduty by Lessee, its former or current agents, contractors, employees, agents and affiliated entities exempt and harmless invitees, or subtenants, or (c) arising from any liability, loss, cost and obligation on account failure of Lessee to observe or perform any damage or injury of its obligations hereunder. The provisions of this paragraph shall survive the termination of this Lease with respect to any person claims or liability occurring prior to the goods, wares and merchandise of any person, arising in any manner from the use or occupancy of the premises by the Lesseesuch termination.

Lessor shall not be liable for any lossdemands, suits, liability, damage or injury loss and against all costs and expenses, including reasonable attorney’s fees incurred in connection therewith, (a) arising out of any kind, to injury or death of any person, including Lessee, Lessee(s) family and Lessee(s) customers or property arising from any use of the Leased Premises, any part thereof or caused by any defect in any structure, facility or other improvements thereon or therein or caused by or arising from any act or omission of Lessee, Lessee(s) family, Lessee(s) customers or guests or any other person or by damage to or from an accident on the premises or any fire or other casualty or occasioned by the failure destruction of Lessee to maintain or repair the Leased Premises or by Lessee(s) breach of any obligation under this Lease. The provisions of this paragraph shall survive the expiration or injury termination of this Lease with respect to any person claims or liability occurring prior to the goods, wares and merchandise of any person, arising in any manner from the use such expiration or occupancy of the premises by the Lesseetermination.

Indemnification of Lessor. The Lessor shall not be liable for any damage or injury to Lessee or any other person or to any propertyliable, occurring on and the demised premises or any part thereof Lessees shall indemnify, save, hold harmless, and Xxxxxx agrees to hold Lessor harmless from any claim for damagesdefend the lessor, no matter how caused. Lessor shall not be liable for any loss, injury, death, or damage to persons or injury property which at any time may be suffered or sustained by the Lessees or by any person whosoever may at any time be using or occupying or visiting the premises, or be in, on, or about the premises, whether such loss, injury, death, or damage shall be caused by or in any way result from or arise out of any kindact, to any personomission, including Lesseenegligence, Lessee(s) family and Lessee(s) customers or property arising from any use intentional misconduct of the Leased Premiseslessee or of any occupant, subtenant, visitor, or user of any part thereof portion of the premises or shall result from or be caused by any defect in other matter or thing whether the same kind as or of a different kind than the matters or things above set forth, and the Lessees shall indemnify the Lessor against all claims, liability, loss, or damage whatsoever on account of any structuresuch loss, facility injury, death, or other damage. The Lessees hereby waive all claims against the Lessor for damages to any building and improvements thereon which are now on or therein hereafter placed or caused by or arising from any act or omission of Lessee, Lessee(s) family, Lessee(s) customers or guests or any other person or by or from an accident built on the premises or any fire or other casualty or occasioned by and to the failure of Lessee to maintain or repair the Leased Premises or by Lessee(s) breach of any obligation under this Lease. Xxxxxx, as a material part property of the consideration to be rendered Lessors, hereby waives all claims and demands against Xxxxxx for all the aforesaid losses and damages to goods, wares and merchandise Lessees in, upon or about said the premises and for injuries to persons in, upon or property in or about said the premises, from any cause whatsoever, arising at any time. Lessee will hold The two preceding sentences shall not apply to loss, injury, death or damage arising by reason of the negligence or misconduct of the Lessor, its agents, or its employees, agents and affiliated entities exempt and harmless from any liability, loss, cost and obligation on account of any damage or injury to any person or to the goods, wares and merchandise of any person, arising in any manner from the use or occupancy of the premises by the Lessee.
