Common use of Indemnification of Manager Clause in Contracts

Indemnification of Manager. The Company shall indemnify the Manager to the fullest extent permitted or required by the Act, as amended from time to time, and the Company may advance expenses incurred by the Manager upon the approval of the Member. The provisions of this Section 3.4 shall apply also to any Person to whom the Manager has delegated management authority as provided in Section 3.3, whether or not such Person is a Manager or Member.

The provisions of this Section 3.4 3.5 shall apply also to any Person to whom the Manager has delegated management authority as provided in Section 3.33.2, whether or not such Person is a Manager or Member.
