Indemnification of Member Entities. The Authority shall, at Authority’s sole cost and expense, indemnify, defend and save harmless the Member Entities, their governing board members, officers, employees and agents, from all costs, expenses (including, without limitation, attorneys’ fees and costs of suit), claims, actions, proceedings, obligations, liabilities, or damages to persons or property or otherwise arising out of or in any way connected with the intentional or negligent act or omission or breach of duty or obligation of the Authority, its officers, employees, agents, Directors, contractors, subcontractors, or any officer, agent or employee thereof.
