Common use of Indemnification of Shareholders' Representative Clause in Contracts

Indemnification of Shareholders' Representative. The Shareholders, jointly and severally, agree to indemnify and hold the Shareholders' Representative harmless from and against any loss, liability, damage, cost, or expense (including, but not limited to, legal fees and expenses) incurred by him arising out of or in connection with the Shareholders' Representative's performance under this Appointment, except to the extent caused by actions constituting gross negligence or willful misconduct of the Shareholders' Representative.

Indemnification of Shareholders' Representative. The Shareholders, jointly and severally, agree to Each Shareholder shall indemnify and hold the Shareholders' Shareholder's Representative harmless from and against any loss, liability, damage, cost, or expense (including, but not limited to, legal fees and expenses) incurred with respect to anything done by him arising out of or the Shareholder's Representative in good faith in connection with their responsibilities hereunder and to reimburse the Shareholders' Shareholder's Representative's performance under this Appointment, except in proportion to their respective interests in the extent caused by actions constituting gross negligence or willful misconduct Balance of the ShareholdersProMedCo Shares for any costs or expenses, including attorneys' Representativefees, incurred by the Shareholder's Representative in the satisfaction of their responsibilities hereunder.
