Common use of Indemnification of Shareholders’ Representative Clause in Contracts

Indemnification of Shareholders’ Representative. Each Shareholder shall indemnify and hold the Shareholder's Representative harmless with respect to anything done by the Shareholder's Representative in good faith in connection with their responsibilities hereunder and to reimburse the Shareholder's Represen tative, in proportion to their respective interests in the Balance of the ProMedCo Shares for any costs or expenses, including attorneys' fees, incurred by the Shareholder's Representative in the satisfaction of their responsibilities hereunder.

Each Shareholder shall The Shareholders, jointly and severally, agree to indemnify and hold the Shareholder's Shareholders' Representative harmless with respect to anything done from and against any loss, liability, damage, cost, or expense (including, but not limited to, legal fees and expenses) incurred by the Shareholder's Representative in good faith him arising out of or in connection with their responsibilities hereunder and to reimburse the ShareholderShareholders' Representative's Represen tative, in proportion to their respective interests in the Balance of the ProMedCo Shares for any costs or expenses, including attorneys' fees, incurred by the Shareholder's Representative in the satisfaction of their responsibilities hereunderperformance under this Appointment.
