Common use of Indemnification of Tax Matters Member Clause in Contracts

Indemnification of Tax Matters Member. The Company shall defend, indemnify and hold harmless the Tax Matters Member for all expenses Including legal and accounting fees, claims, liabilities, losses and damages incurred in connection with the performance of such Member as Tax Matters Member. Neither the Members or the Manager, nor any other Person or Affiliate of the Company shall have any obligation to provide funds for such purpose.
