Indemnification of the Liquidator. In the event that the Liquidator is a Person other than the Managing General Partner, the Managing General Partner shall indemnify, save harmless, and pay all judgments and claims against such Liquidator relating to any liability or damage incurred by reason of its making distributions to the Partners and in accordance with Section 12.02 hereof, except to the extent such liability or damage is caused by the gross negligence, fraud, or willful misconduct of the Liquidator.
