Common use of Indemnification of the Officers Clause in Contracts

Indemnification of the Officers. Except as otherwise prohibited by the Act, the Company shall indemnify, defend and hold harmless the Officers against all Losses, to the extent the same arise directly or indirectly from the conduct of the business of the Company, except any Losses caused by self-dealing or willful misconduct by the Officers.
