TSVI shall indemnify the Village, the Districts and their respective agents and employees and shall hold the Village and the Districts and their respective agents, officers and employees harmless from and against any and all liabilities, claims, costs and expenses including reasonable attorneys’ fees, incurred in any challenge or proceeding relevant to the formation, operation, and administration of the Districts, the offer and sale of bonds of either District, the dedication, disbursement, pledge or expenditure of Tax Increment Revenue by the XXXX in connection with XXXX Bonds, and the levying by the PID of any assessment, special levy or charge in connection with the PID and PID Bonds.
