Common use of Indemnification Required Clause in Contracts

Indemnification Required. Payments or transfers under Section 9.2 are in full settlement of our obligations under the contract. Prior to making such payments or transfers under Section 9.2, we may require the Contractholder and the Plan Sponsor to indemnify and hold us harmless from any and all losses, claims, or demands that may later be asserted against us in connection with the making of such payment or transfer.
