Common use of INDEMNITY AGAINST ACTIONS Clause in Contracts

INDEMNITY AGAINST ACTIONS. Indemnitor xxxxxx agrees to indemnify Indemnitee and NJDEP against any claims brought or actions filed against Indemnitee or NJDEP in respect to the subject of indemnity herein recited, whether such claims or actions be rightfully or wrongfully brought or filed by, from or on behalf of a third party (other than Indemnitee and NJDEP), and arising from the alleged action or inaction of the Indemnitor, against all costs incurred by Indemnitee or NJDEP therein. In the case an action should be filed in respect to the subject of indemnity herein, Indemnitor agrees that Indemnitee and NJDEP may employ an Attorney of Indemnitee’s and NJDEP’s own selection to appear and defend the action, on behalf of Indemnitee or NJDEP at the expense of the Indemnitor.
