Common use of Indemnity and Limitation of Damages Clause in Contracts

Indemnity and Limitation of Damages. Each Party (the Indemnifying Party) shall indemnify, save harmless and defend the other Party, including the other Party’s parents, subsidiaries, affiliates and their respective officers, directors, agents and employees, from and against all claims, demands, costs and expenses (including reasonable attorneys’ fees and court costs) in any manner, directly or indirectly, connected with or arising from any loss, damage or injury to any person(s) or property occurring on the Indemnifying Party’s side of the Delivery Point. Neither Party shall be liable to the other, whether in contract, in tort (including negligence, but not including gross negligence) under any warranty or otherwise, for damages for loss of profits or revenue, loss of use of any property, cost of capital, or other similar incidental or consequential damages.
