INDEMNITY BY ACS. ACS shall indemnify Customer from, and protect, defend and hold harmless Customer and its directors, officers, agents, attorneys and affiliates against, any Liabilities arising out of or relating to any claim (1) for bodily injury to or death of any person caused by ACS, (2) damage to, or loss or destruction of, any tangible real property or tangible personal property caused by ACS or its agents, subcontractors or employees; provided, however, in no event will ACS' indemnification obligation extend to Liabilities asserted by third parties as a result of ACS' performance or nonperformance of Services or (3) resulting from any obligations or liabilities of ACS not expressly assumed herein by Customer, except to the extent caused by Customer.
INDEMNITY BY ACS. ACS shall indemnify and hold harmless Customer, its directors, officers, employees, attorneys, and affiliates from and against any fine, penalty, cost, loss, damages, injury, obligation, demand, assessment, claim, expense or liability, including attorneys' fees and expenses, asserted against or incurred by such persons or entities for any third party claim for (i) bodily injury to or death of any person caused by ACS, or (ii) physical damage to, or loss or destruction of, tangible real property or tangible personal property caused by ACS or its agents, subcontractors or employees; provided that such indemnity shall be limited to the limitations on damages provided in this Agreement, including, but not necessarily limited to the provisions of Section 8., hereof.
