Indemnity by Zydus. Zydus shall defend, indemnify, and hold harmless each of Supernus and its Affiliates and its and their directors, officers, employees, and contractors (each, a “Supernus Party”) from and against any and all Losses arising from or in connection with: 7.2.1 any Claim resulting from any negligent acts or acts of willful misconduct of any Zydus Party in connection with the performance of its obligations under this Zydus 200 mg Product License Agreement; 7.2.2 any Claim based on or arising out of the use, Manufacturing, Labeling, Packaging, or Marketing of Zydus 200 mg Product, including, any investigation by a Governmental Authority or any claim for personal injury or property damage asserted by any user of Zydus 200 mg Product (but [**] any [**] based on or arising out of any portion of the [**] of the [**] that, pursuant to [**], is required to be the same as the [**] for the [**]); or 7.2.3 the breach by Zydus of any of its representations or warranties contained in this Zydus 200 mg Product License Agreement, except, in each case, to the extent that such Losses are caused by the negligence, breach of the terms of this Zydus 200 mg Product License Agreement, or willful misconduct of a Supernus Party.
