Indemnity from Banks. Each Bank and the Issuing Bank shall, in its Proportion, on demand by the Facility Agent, the Security Agent or any Arranger from time to time, indemnify the Facility Agent or, as the case may be, the Security Agent or the Arranger, against any and all fees (to the extent properly chargeable by the Facility Agent or, as the case may be, the Security Agent or the Arranger under any Finance Document but not promptly recovered from the Obligors), costs, claims and expenses and liabilities including any VAT thereon:
