Common use of Indemnity If Successful Clause in Contracts

Indemnity If Successful. To the fullest extent permitted by law, the Company shall indemnify each Indemnified Person against expenses, including reasonable attorneys’ fees, actually and reasonably incurred by such Person in connection with the defense of any action or omission referred to in Section 10.01 or in defense of any claim, issue or matter therein, to the extent that such Person has been successful on the merits.

Indemnity If Successful. To the fullest extent permitted by law, the Company shall indemnify each Indemnified any Person who is or was a Manager, Member, officer, controlling Person, employee, legal representative or agent of the Company, against expenses, including reasonable attorneys’ fees, actually and reasonably incurred by such Person him or her in connection with the defense of any action action, suit or omission proceeding referred to in Section Sections 10.01 and 10.02 or in defense of any claim, issue or matter therein, to the extent that such Person has been successful on the merits.

Indemnity If Successful.
