Indemnity If Successful. To the fullest extent permitted by law, the Company shall indemnify each Indemnified Person against expenses, including reasonable attorneys’ fees, actually and reasonably incurred by such Person in connection with the defense of any action or omission referred to in Section 10.01 or in defense of any claim, issue or matter therein, to the extent that such Person has been successful on the merits.
