Common use of INDEMNITY, LIABILITY AND INSURANCE Clause in Contracts

(a) Chilter and Sponsor shall not be responsible for, andInstitution and Invetigator Sponsor shall indemnify, defend and hold Xxxxxxxx and Sponsor harmless from any loss or third party claim resulting from Institution, Investigator or Research Staff’s negligence, willful misconduct, or their breach of this Agreement.
