Common use of Indemnity of Limited Partner Clause in Contracts

Indemnity of Limited Partner. The General Partner will indemnify and hold harmless the Limited Partner for any costs or damages incurred by the Limited Partner, other than any liability caused by any act or omission of the Limited Partner. The General Partner will indemnify the Limited Partnership for any damages incurred by the Limited Partnership as a result of any breach by the General Partner of its standard of care set forth herein, including any legal expenses incurred by the Limited Partnership in defending an action based in whole or in part upon an allegation that the General Partner has been guilty of such breach if such defence is substantially unsuccessful. If any such action is settled by the General Partner, the action will be deemed for the purposes of this Article to have been unsuccessfully defended unless the settlement is approved by the City and OSEG pursuant to the Stadium Shareholder’s Agreement.
