Common use of Indemnity of Limited Partners Clause in Contracts

Indemnity of Limited Partners. The General Partner will indemnify and hold harmless each Limited Partner (including former Limited Partners) for all costs, expenses, damages or liabilities suffered or incurred by the Limited Partner if the limited liability of that Limited Partner is lost for or by reason of the negligence of the General Partner in performing its duties and obligations under this Agreement.

Indemnity of Limited Partners. The Subject to Section 7.6, the General Partner will indemnify and hold harmless each Limited Partner (including former Limited Partners) for all costs, expenses, any costs or damages or liabilities suffered or incurred by the Limited Partner if his liability is not limited in the manner provided for in this Agreement or in the Act or other applicable laws other than any lack of limited liability caused by any act or omission of that such Limited Partner, including breach by such Limited Partner is lost for or by reason of the negligence of the General Partner in performing its duties and obligations any requirement imposed under this AgreementSection 2.12.
