Common use of Indemnity to the Agents Clause in Contracts

Indemnity to the Agents. The Company shall, within fifteen days of demand, indemnify each of the Agents against any cost, loss or liability incurred by such Agent (acting reasonably) as a result of: 13.3.1 investigating any event which it reasonably believes is a Default; or 13.3.2 acting or relying on any notice, request or instruction which it reasonably believes to be genuine, correct and appropriately authorised, provided that, prior to the delivery of an Enforcement Notice, any such cost, loss or liability shall be reasonable.
