Independence and Mutual Indemnification. It is understood that employees of Meridian are not agents or employees of the School Board, and employees of the School Board are not agents or employees of Meridian. Neither party to this Agreement assumes any liability for any acts or omissions of the other party or of the agents or employees of the other party. Xxxxxxxx agrees to indemnify, defend, and bold the School Board, its officers and employees, harmless from any and all liability of the School Board resulting from Xxxxxxxx's provision of services pursuant to this Agreement.
