Common use of Independence of Parties Clause in Contracts

Independence of Parties. None of the language, terms or conditions of this Agreement are intended to create, nor shall be construed to create, a partnership, joint venture, or any other similar kind of relationship between the parties. Neither party has the power to bind the other party as an agent or otherwise; nor shall either party hold itself out to have such power or to have any authority or right to act or speak on behalf of the other party in any manner, except as otherwise expressly authorized under this Agreement.
