INDEPENDENCE OF THE ESCROW AGENT. The Issuer hereby represents that all of its officers, directors and promoters are listed on Exhibit C, which is attached hereto and made a part hereof. The Escrow Agent hereby represents that it is not affiliated with the Issuer, the Depositors, or the Issuer’s officers, directors or promoters who are named in Exhibit A or Exhibit C. A bank may not be disallowed as an Escrow Agent merely because the Issuer, its officers, directors, or Promoters are its customers.
