Independent Consideration. The sum of One Hundred Dollars ($100.00) (the “Independent Consideration”) out of the Xxxxxxx Money Deposit is independent of any other consideration provided hereunder, shall be fully earned by Seller upon the Effective Date hereof, and is not refundable to Purchaser under any circumstances. Accordingly, if this Agreement is terminated for any reason by either party, the Independent Consideration shall be paid by the Title Company to Seller.
