INDEPENDENT CONSTRUCTION. Each covenant contained herein shall be construed (absent an express contrary provision herein) as being independent of each other covenant contained herein, and compliance with any one covenant shall not (absent such an express contrary provision) be deemed to excuse compliance with one or more other covenants.
INDEPENDENT CONSTRUCTION. No provision of this Agreement shall be interpreted or construed against a Party because that Party or its legal representative drafted the provision.
INDEPENDENT CONSTRUCTION. Each of the Termination Events must be construed independently and no Termination Event is to be limited by implications arising from any other Termination Event.
INDEPENDENT CONSTRUCTION. Each provision, or part thereof, of this Agreement shall be construed separately and independently from each other. Accordingly, if any provision of this Agreement is found to be unenforceable or invalid, such provision shall be ineffective to the extent of such unenforceability or invalidity, without affecting the remaining provisions of this Agreement. In such case, the Parties agree to recognize and give effect to such valid and enforceable provision or provisions which correspond as closely as possible with their mutual commercial intent. The same applies to any gaps or omissions in this Agreement.
INDEPENDENT CONSTRUCTION. The parties agree that each of them and/or their respective counsel has reviewed and had an opportunity to revise this Agreement and, therefore, the normal rule of construction to the effect that any ambiguities are to be resolved against the drafting party shall not be employed in the interpretation of this Agreement or any amendments hereto. In addition, each and every reference to share prices and shares of Common Stock in this Agreement shall be subject to adjustment for reverse and forward stock splits, stock dividends, stock combinations, stock conversions and other similar transactions of the Common Stock that occur after the date of this Agreement.
