This Agreement shall not be interpreted or construed to create an association, agency, joint venture, venture or partnership between the Parties or to impose any liability attributable to such a relationship upon either Partythe Parties.

Neither Party shall have any right, power, express or implied right or authority to enter into assume or create any agreement for, or obligations on behalf of, of or incur any obligation or liability ofin the name of the other Party, or to otherwise bind, bind the other Party. This Agreement shall not be interpreted Party to any other contract, agreement or construed to create an association, agency, joint venture, undertaking with any Third Party or partnership between the Parties or to impose any liability attributable to such a relationship upon either PartyAffiliate.

Independent Contractors. The Parties to acknowledge and agree that neither Party, by reason of this Agreement are independent contractors. Neither Party is Agreement, will be an agent, representative, employee or partner representative of the other Party. Neither Party shall have with respect to any rightmatters relating to this Agreement, power, or authority unless specifically provided to enter into any agreement for, or on behalf of, or incur any obligation or liability of, or to otherwise bind, the contrary in writing by the other Party. This Agreement shall will not be interpreted or construed deemed to create an association, agency, a partnership or joint venture, or partnership venture of any kind between the Parties or to impose any liability attributable to such a relationship upon either PartyRefinery Company and Fertilizer Company.

Independent Contractors. The Parties parties to this Agreement are independent contractorscontractors and engage in the operation of their own respective businesses. Neither Party is an agent, representative, the agent or partner employee of the other PartyParty for any purpose whatsoever. Nothing in this Agreement shall be construed to establish a relationship of co-partners or joint venturers between the two parties. Neither Party shall have any right, power, or has the authority to enter into any agreement for, contracts or assume any obligations for the other Party or to make any warranties or representations on behalf of, or incur any obligation or liability of, or to otherwise bind, of the other Party. This Agreement shall not be interpreted or construed to create an association, agency, joint venture, or partnership between the Parties or to impose any liability attributable to such a relationship upon either Party.

This Agreement Other than as specifically allocated herein, each party shall not be interpreted or construed to create an association, agency, joint venture, or partnership between the Parties or to impose any liability attributable to such a relationship upon either Partybear its own costs and expenses in performing this Agreement.

Independent Contractors. The Parties to this Agreement Contract are independent contractors. Neither Party is an agent, representative, or partner of the other Party. Neither Party shall have any right, power, or authority to enter into any agreement for, or on behalf of, or incur any obligation or liability of, or to otherwise bind, the other Party. This Agreement Contract shall not be interpreted or construed to create an employment, association, agency, joint venture, or partnership between the Parties or to impose any liability attributable to such a relationship upon either Party.
