Common use of Independent Investigation; Access Clause in Contracts

Independent Investigation; Access. Subscriber acknowledges that Subscriber, in making the decision to purchase the Units subscribed for, has relied upon independent investigations made by it and Subscriber's representatives, if any. Subscriber and such representatives, if any, have been given reasonable access and opportunity, prior to any sale to it, to examine all material books and records of the Company including all of the Company's reports filed in accordance with the Securities Exchange Act of 1934, all material contracts and documents relating to this Offering and an opportunity to ask questions of, and to receive answers from the Company or any person acting on its behalf concerning the terms and conditions of this Offering. Subscriber and its advisors, if any, have been furnished with access to all publicly available materials relating to the business, finances and operations of the Company and materials relating to the offer and sale of the Units which have been requested as well as the Private Placement Memorandum for this Offering and have reviewed all such materials or have had the opportunity to do so, and expressly waived such right. Subscriber and its advisors, if any, have received complete and satisfactory answers to any such inquiries.
