Common use of Independent Nature of Investors’ Obligations and Rights Clause in Contracts

Independent Nature of Investors’ Obligations and Rights. The obligations of each Investor under this Agreement are several and not joint, and no Investor is responsible in any way for the performance or conduct of any other Investor in connection with the transactions contemplated hereby. Nothing contained herein and no action taken by any Investor pursuant hereto, shall be or shall be deemed to constitute a partnership, association, joint venture, or joint group with respect to the Investors. Each Investor agrees that no other Investor has acted as an agent for such Investor in connection with the transactions contemplated hereby.

Each Investor of the Investors agrees that no other Investor Person has acted as an agent for such Investor in connection with the transactions contemplated hereby.

Nothing contained herein herein, and no action taken by any Investor pursuant hereto, shall be or shall be deemed to constitute the Investors as a partnership, an association, a joint ventureventure or any other kind of entity, or joint create a presumption that the Investors are in any way acting in concert or as a group with respect to the Investors. Each Investor agrees that no other Investor has acted as an agent for such Investor in connection with the transactions contemplated hereby.21

Independent Nature of Investors’ Obligations and Rights. Each Investor’s rights and obligations in respect of the purchase of its respective portion of the Shares as provided herein shall be several and independent. The obligations liabilities of each Investor under this Agreement are several and not joint, and no Investor is responsible in any way for the performance or conduct of any other Investor in connection with the transactions contemplated hereby. Nothing contained herein herein, and no action taken by any Investor pursuant hereto, shall be or shall be deemed to constitute a partnership, association, joint venture, or joint group with respect to the Investors. Each Investor agrees that no other Investor has acted as an agent for such Investor in connection with the transactions contemplated hereby.
