Ernst & Young LLP, who has certified certain financial statements of the Partnership included in each of the Time of Sale Information and the Offering Memorandummost recent Preliminary Prospectus, is an independent registered public accounting firm with respect to the Partnership as required by the Securities Act, the rules Rules and regulations thereunder Regulations and the regulations of the Public Company Accounting Oversight Board.
