Independent Significance. Although the same or similar subject matters may be addressed in different provisions of this Agreement, the Parties intend that, except as reasonably apparent on the face of the Agreement or as expressly provided in this Agreement, each such provision shall be read separately, be given independent significance and not be construed as limiting any other provision of this Agreement (whether or not more general or more specific in scope, substance or content).

Independent Significance. The restrictive covenants set forth in this Section 10 and the covenants of confidentiality contained in Section 11 below on the part of the Employee are of the essence of this Agreement and will be construed as independent of any other of the provisions of this Agreement (other than the Company's monetary obligations to Employee under Sections 4 or 9), and the existence of any claim or cause of action of the Employee against the Company (other than a claim under Section 4 or 9 hereof), whether predicated on this Agreement or otherwise, will not constitute a defense to the enforcement by the Company of any of said restrictive covenants.
