INDEPENDENT THIRD PARTIES. To the extent that an independent third party is used to determine the fair market value of an Offered Asset or servicing rights pursuant to Section 2(b) or Section 5(c), any fee associated with the independent third party’s determination of fair market value shall be borne equally by the Company and Provident.
INDEPENDENT THIRD PARTIES. 24.1 Where this Agreement makes provision for a dispute or other matter to be referred to or for determination by an Independent Third Party the provisions of this clause 24 will apply save where and to the extent otherwise indicated herein.
24.2 In relation to the Independent Third Party:
24.2.1 the person acting as such is to act as an expert;
24.2.2 the person so acting must afford the Parties an opportunity within the reasonable time limits to make representations to him, and inform each Party of the representations of the other, and allow each Party to make submissions to him on the representations of the other;
24.2.3 the decision of the person so acting shall be final and binding upon the Parties (except for manifest error);
24.2.4 the fees of the person so acting in connection with the issue of his certificate are allowable as Development Costs.
