Common use of Individual Member Authority Clause in Contracts

Individual Member Authority. The Officers, acting individually, and any other Person hereafter designated by the Manager, each has and will have the authority delegated by the Manager to bind the Company as an agent in the ordinary course of business. No Member acting solely in his, her or its capacity as a Member has the authority to bind the Company, unless such action is expressly authorized by this Agreement or by the Manager. Any Member shall indemnify the Company for any costs or damages incurred by the Company as a result of any action by such Member purporting to act for or to undertake any obligation, debt, duty or responsibility on behalf of any other Member or the Company, unless such action or undertaking is expressly authorized by this Agreement or by the Manager.
