INDIVIDUAL REPRESENTATIONS AND WARRANTIES OF THE COMPANY AND PARENT. Except as set forth in the Reports of the Company or Parent, as applicable, filed with or furnished to the SEC during the period from January 1, 2021 through the day prior to the date of this Agreement (excluding any disclosures set forth or referenced in any risk factor section, in any section relating to forward-looking disclosure, or in any other section to the extent they are forward-looking statements or cautionary, predictive or forward-looking in nature) or in the corresponding sections or subsections of the Parent Disclosure Letter or Company Disclosure Letter delivered to the other Party concurrently with the execution and delivery of this Agreement, Parent hereby represents and warrants to the Company, in respect of Sections 6.1 through Section 6.5, and the Company hereby represents and warrants to the Parent Parties, in respect of Section 6.6 through Section 6.9, in each case, that:
