Common use of Information and Audit Cooperation Clause in Contracts

Information and Audit Cooperation. At Purchaser’s request, at any time after the Closing Date, upon reasonable advance notice, Seller shall provide to Purchaser’s designated independent auditor reasonable access to the books and records of the Property, and all related information regarding the period for which Purchaser is required to have the Property audited under the regulations of the Securities and Exchange Commission, and Seller shall provide to such auditor a representation letter regarding the books and records of the Property, in substantially the form of Exhibit S attached hereto.

At Purchaser’s 's request, at any time before or after the Closing Date, upon reasonable advance noticeClosing, Seller shall provide to Purchaser’s 's designated independent auditor reasonable access to the books and records of the Property, and all related information regarding the period for which Purchaser is required to have the Property audited under the regulations of the Securities and Exchange Commission, and Seller shall provide to such auditor a representation letter regarding the books and records of the Property, in substantially the form of Exhibit S G attached hereto, in connection with the normal course of auditing the Property in accordance with generally accepted auditing standards.
