None of the representations or warranties made by any Selling Shareholder in this Agreement or in any agreement executed and delivered by or on behalf of any of them pursuant hereto are false or misleading with respect to any material fact, or omit to state any material fact necessary in order to make the statements therein contained, in light of the circumstances, under which they were made, not misleading.
