Information Concerning Company. The Company’s SEC Filings contain all material information relating to the Company and its operations and financial condition as of their respective dates which information is required to be disclosed therein. Since the Balance Sheet Date and except as stated in Schedule 3.26, there has been no material adverse change in the Company’s business, financial condition or affairs that has not been disclosed in an SEC Filings as required by the Exchange Act, not disclosed in the SEC Filings. The SEC Filings do not contain any untrue statement of a material fact or omit to state a material fact in light of the circumstances when made required to be stated therein or necessary to make the statements therein not misleading.
