Information Concerning NetLojix. Buyer has received copies of NetLojix's (i) Annual Report on Form 10-K for the year ended December 31, 1999, (ii) Quarterly Reports on Form 10-Q for the quarters ended March 31, 2000, June 30, 2000 and September 30, 2000, (iii) Current Reports on Form 8-K dated June 23, 2000 and October 5, 2000, (iv) Post-effective Amendment No. 1 to Registration Statement on Form S-1 dated May 3, 2000, (v) Proxy Statement for its 2000 Annual Meeting of Stockholders, each as filed with the SEC. Buyer has had the opportunity to obtain information with respect to NetLojix and its plans, operations and financial condition, and has heretofore received all such information as Buyer has deemed necessary and appropriate to enable Buyer to evaluate the financial risk inherent in an investment in the Shares.

The Werths have received copies of NetLojix's (i) Annual Report on Form 10-K for the year ended December 31, 1999, (ii) Quarterly Reports on Form 10-Q for the quarters ended March 31, 2000 and June 30, 2000, (iii) Current Report on Form 8-K dated June 23, 2000, (iv) Post-effective Amendment No. 1 to Registration Statement on Form S-1 dated May 3, 2000, (v) Proxy Statement for its 2000 Annual Meeting of Stockholders, and (vi) each other document filed by NetLojix with the Securities and Exchange Commission (the "SEC") after the date hereof and prior to the Closing Date. The Werths have heretofore discussed NetLojix and its plans, operations and financial condition with NetLojix's officers and have heretofore received all such information as the Werths have deemed necessary and appropriate to enable the Werths to evaluate the financial risk inherent in making an investment in the Exchange Shares, and the Werths have received satisfactory and complete information concerning the business and financial condition of NetLojix in response to all inquiries in respect thereof.
