None of the information relating to Stockholder and its affiliates provided by or on behalf of Stockholder or its affiliates specifically for inclusion in the various documents to be filed with the Securities and Exchange Commission ("SEC") in connection with the transactions contemplated by the Merger Agreement (including, without limitation, the Schedule TO, Schedule 14D-9 and other documents filed with the SEC and delivered to stockholders of the Company in connection with the Offer (the "Offer Documents"), and, if applicable, the proxy statement) will, at the respective times such documents are filed with the SEC or are first published, sent or given to stockholders of the Company, contain any untrue statement of a material fact or omit to state any material fact required to be stated therein or necessary in order to make the statements therein, in light of the circumstances under which they were made, not misleading.
