Information provision. In respect of any Restriction of Use Day for which compensation may be payable in a Period under paragraphs 3 and 4, Network Rail shall accurately record such information as it uses and as may properly and reasonably be required to make the calculations required under paragraphs 3 and 4 (including the determination of NF and the relevant version of the Working Timetable referred to in paragraph 9.1(b)(ii) or paragraph 9.2(b)(i)). Network Rail shall maintain that information until the compensation payable under paragraphs 3 and 4 in respect of that Period is finally agreed or determined and provide such information to the Train Operator at its reasonable request.

Information provision. 7.1 Until the date on which the Shareholder no longer needs such information in order to comply with any applicable laws or regulations or its required reporting to its debt and equity holders, Parent shall, upon the Shareholder’s reasonable request, provide the Shareholder with the following information (in each case consistent with materials otherwise provided to Parent’s Board of Directors and/or such documents in their final form for use by senior management): (a) periodic reports, consisting of unaudited quarterly (as soon as available and in any event within 45 days of the end of each quarter) and audited (by a nationally recognized accounting firm) annual (as soon as available and in any event within 75 days of the end of each year) financial statements prepared in accordance with United States Generally Accepted Accounting Principles (“U.S. GAAP”), which statements shall include: (i) the consolidated balance sheet, income statement and cash flow statement of Parent; (ii) a comparison to the corresponding data for the prior period and the corresponding period of the previous fiscal year; and (iii) as appropriate, a reconciliation to International Financial Reporting Standards (“IFRS”) via a reporting package provided by the Shareholder identifying all differences between US GAAP and IFRS; (b) other requisite information for the Shareholder to perform its acquisition accounting procedure, which procedure must be completed within 12 months after Closing; (c) such other information not included pursuant to clauses (a) and (b) above as the Shareholder may reasonably request as necessary to satisfy its own reporting requirements, provided that Parent shall not be required to incur significant incremental costs to obtain and provide such additional information; and (d) to the extent that Parent is required by law or pursuant to the terms of any outstanding indebtedness of Parent to prepare any annual reports, quarterly reports and other periodic reports pursuant to Section 13 or 15(d) of the Exchange Act, such reports actually prepared by Parent as soon as available, provided, that any such reports shall be deemed to have been provided when such reports are publicly available via the SEC’s XXXXX system or any successor to the XXXXX system. 7.2 The Shareholder and/or its external auditor will be provided reasonable access to Parent’s internal accounting, finance, tax and other personnel and its external auditors for the purposes set out in this Section 7, ...
Information provision. 4.1 Student information from the Student Information Database (SITS) as set out in paras 3.1 will be provided to UCSU or their contractually appointed agents (e.g. Data Processors – currently Membership Solutions Limited (MSL) provide the UCSU with membership services, websiteand door entry system) securely by Corporate & eLearning Systems via an automated feed every night that ensures that mailing lists remain up-to-date. UC will transfer up-to-date information and the details of any student who has opted out of membership of UCSU will not be included. 4.2 Student information from the Student Information Database (SITS) as set out in paras 3.2 will be provided to UCSU or their contractually appointed agents (e.g. Data Processors) securely by Admissions. 4.3 Where data has been entered directly to the UCSU website there will be an end-of-year reviewof data to ensure that it is accurate. This applies to such data as e.g. Student Academic Representatives, membership of a given Club or Society etc. All memberships are deleted via an annual automated process within the MSL website. 4.4 UC Admissions & Academic Registry and Planning will provide additional, ad hocstudent information on request and by agreement with UCSU, taking into account the operational requirements of UCSU and UC. 4.5 Where a student informs UCSU of a change to any of their personal data held on SITS, UCSU shall inform the student of how to update this change within UC procedures. 4.6 An agreed list of UCSU staff will be given up to Level 2 (applies to roles with a remit which includes making contact with students) access to the student portal (ChiView). This list will be reviewed annually to ensure it remains current, by USCU and any changes notified to UC.

This will be submitted to us using an online format to be notified to you and shall include the following information: • the average wait time between referral and appointment for Members for the last 6 months; • details of actions taken in response to patient feedback which you receive directly and from us; • the average number of sessions required to complete a single course of treatment for any one Member • the % of referrals to you from GPs over the past 6 months; • the % of referrals to you from private consultants over the past 6 months; • the % of Members referred back to a GP or consultant for onward referral to another clinical specialist over the past 6 months; and • the number of total patient complaints in the last 6 months (total patient complaints not just Member complaints).

Information provision. You must notify us as soon as possible if: any of your details which are known to us change (including, if you move out of the premises, a forwarding address); your premises are affected by a fault; any changes occur which will materially affect the provision of metering services to you, such as changes to access to your meter; there is any change or proposed change in plant or equipment, including metering equipment, or any change to the capacity or operation of connected plant or equipment that may affect the quality, reliability, safety or metering of the supply of electricity to the premises or the premises of any other person; there is any permanent material change to the electricity load or pattern of usage at the premises; or you cease to be, or anticipate that you will cease to be, a Small Customer at your premises.
