Information Report to NDRC. Where the Circular on Promoting the Reform of the Filing and Registration System for Issuance of Foreign Debt by Enterprises ( 國 家 發 展 改 革 委 關 於 推 進 企 業 發 行 外 債 備 案 登 記 制 管 理 改 革 的 通 知 ( 發 改 外 資 [2015]2044 號 )) (the “NDRC Circular”) issued by the NDRC and which came into effect on 14 September 2015 and any implementation rules as issued by the NDRC from time to time applies, for the benefit of the relevant Series or Tranche of Notes to be issued in accordance with these Conditions and the Trust Deed, the Issuer undertakes to: (i) file or cause to be filed with the NDRC the requisite information and documents within the prescribed timeframe after the relevant Issue Date in accordance with the NDRC Circular, and any implementation rules as issued by the NDRC from time to time (the “NDRC Post-issue Filing”); and (ii) within 10 China Business Days after submission of such NDRC Post-issue Filing set out in Condition 5(c)(i), provide the Trustee with a certificate signed by an authorised signatory of the Issuer confirming the submission of the NDRC Post-issue Filing and provide the Trustee with a notice substantially in the form set out in the Trust Deed confirming the due filing of the NDRC Post-issue Filing for dissemination to the Noteholders in accordance with Condition 20 by the Principal Paying Agent on behalf of the Issuer. The Trustee shall have no obligation to monitor or ensure the completion of the NDRC Post-issue Filing on or before the deadline referred to above or to verify the accuracy, validity and/or genuineness of any documents in relation to or in connection with the NDRC Post-issue Filing, and shall not be liable to Noteholders or any other person for not doing so.
